Horologe — Terms of Service

1. About these terms

These Terms of Service (the "Terms") govern your use of the Horologe platform at https://horologe.innovations-beyond.com (the "Platform"), operated by <<Operator legal name>> ("we", "us"). By creating an account or otherwise using the Platform you agree to these Terms.

If you do not agree, do not use the Platform.

2. What the Platform is

Horologe is a private ledger for personal watch collections. It lets a collector catalogue the watches they own — references, calibres, complications, photographs, paperwork, valuations — and optionally share specific collections with trusted people they invite, or with anyone they choose to grant a time-limited link.

Horologe is not a marketplace. It does not facilitate purchases, sales, or transfers of physical property between users. It does not provide authentication, appraisal, escrow, insurance, or watchmaking services.

3. Accounts

You must be at least eighteen (18) years old to create an account.

You are responsible for keeping your password (or Google account, if you sign in with Google) secure, and for all activity that occurs through your account. Notify us at [email protected] if you suspect unauthorised access.

We may suspend or terminate an account that we reasonably believe has violated these Terms or the Acceptable Use Policy.

4. Your content

You retain ownership of the content you upload (photographs, paperwork scans, notes, valuations, etc.).

You grant us a limited, royalty-free licence to store, transmit, and display your content solely to the extent needed to operate the Platform on your behalf — for example, to render the catalogue to you, deliver email notifications, and serve content to recipients you have explicitly shared with. We do not use your content for any other purpose, and we do not train machine-learning models on it. [REVIEW]

You represent that you have the right to upload the content you submit and that doing so does not violate the rights of any third party (including copyright, trademark, privacy, or right of publicity).

5. Sharing features

The Platform offers two sharing surfaces:

  • Invited members. You can invite other users to view or edit specific collections. Invited members create an account; their access is scoped to the collections you grant.
  • Share links. You can generate a time-limited link that grants anonymous read-only access to a specific watch or collection. Sensitive fields (e.g. serial numbers) are masked in share-link views by default.

Use these features at your discretion. We do not vet recipients. You are responsible for who you choose to share with and what you choose to share.

6. Subscription and billing

Some features of the Platform require a paid subscription. Subscriptions are billed monthly or annually in advance through our payment processor (Stripe).

You may cancel at any time from the Account page. Cancellation takes effect at the end of the then-current billing period; we do not pro-rate refunds for partial periods.

We may change subscription prices with at least thirty (30) days' notice for existing subscribers. Continued use after the notice period constitutes acceptance of the new price. [REVIEW]

If a charge fails, we will retry for up to fourteen (14) days. If the charge cannot be collected, your account will be downgraded to read-only until the balance is settled.

7. Acceptable use

You agree to the separate Acceptable Use Policy (ACCEPTABLE_USE.md), which is incorporated into these Terms by reference.

8. Disclaimers

The Platform is provided as is and as available. To the maximum extent permitted by law, we disclaim all warranties — express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, and non-infringement. [REVIEW]

We do not guarantee that the Platform will be uninterrupted, error-free, or free of harmful components, that data loss will not occur, or that any particular feature will remain available.

You are solely responsible for keeping your own backup copies of catalogue content you consider important.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising from or related to your use of the Platform will not exceed the greater of (a) the amount you paid us in the twelve (12) months immediately preceding the claim, or (b) one hundred US dollars ($100). [REVIEW]

In no event will we be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, data, or business opportunities.

Some jurisdictions do not allow limitations on implied warranties or liability; in those jurisdictions, the foregoing limitations apply to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify and hold us harmless from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Platform, your content, or your violation of these Terms.

11. Termination

You may terminate your account at any time from the Account page.

We may suspend or terminate access to your account if you violate these Terms or the Acceptable Use Policy, if continued service exposes us to material legal risk, or if we discontinue the Platform.

Upon termination, sections 4 (in respect of content already shared), 8, 9, 10, and 12 survive.

12. Governing law

These Terms are governed by the laws of <<state / country>>, excluding its conflict-of-laws rules. [REVIEW]

Any dispute will be brought exclusively in the courts located in <<venue>>, and you consent to the personal jurisdiction of those courts. [REVIEW]

13. Changes

We may update these Terms from time to time. Material changes will be announced via the Platform or by email to active members at least thirty (30) days before they take effect, unless the change is required for security or compliance reasons.
